Perry SEO provides digital marketing services, including but not limited to:

  • Search Engine Optimization (SEO) — local SEO, on-page optimization, technical SEO, content strategy
  • Google Ads and Local Services Ads (LSA) management
  • Website design and development
  • Consultation and strategy calls
  • Performance reporting and analytics

The specific scope, deliverables, and timeline for any engagement will be outlined in a separate Service Agreement or Statement of Work signed by both parties.

3. No Guaranteed Results

While we are committed to delivering the best possible results for our clients, we do not guarantee specific outcomes such as ranking positions, traffic levels, lead volume, or revenue increases. Search engine algorithms, market conditions, and competition are outside of our control.

Any case studies, testimonials, or results shared on our website represent past performance and do not guarantee future results for your specific business. Your results will vary based on numerous factors including your industry, location, competition, website history, and budget.

4. Client Responsibilities

To ensure a successful engagement, you agree to:

  • Provide timely access to your website, Google Business Profile, Google Ads account, and other necessary platforms
  • Provide accurate and complete information about your business, services, and goals
  • Review and approve deliverables (content, ad copy, website designs) within a reasonable timeframe
  • Inform us of any changes to your business that may affect our work (new services, locations, branding changes)
  • Make payments according to the agreed-upon schedule

Delays caused by failure to meet these responsibilities may affect project timelines and results.

5. Payment Terms

Unless otherwise specified in your Service Agreement:

  • Services are billed on a month-to-month basis unless a different arrangement is agreed upon in writing
  • Payment is due in advance of each service period
  • We accept payment via bank transfer, credit card, or check
  • Late payments may result in a pause in services until payment is received
  • There are no long-term contracts required — you may cancel with reasonable written notice as specified in your Service Agreement

Setup fees, ad spend (for PPC campaigns), and third-party tools are separate from monthly management fees and will be clearly outlined in your agreement.

6. Intellectual Property

6.1 Our Content

All content on this website — including text, graphics, logos, images, and software — is the property of Perry SEO or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.

6.2 Work Product

Upon full payment for services, you will own the final deliverables we create specifically for you (such as website designs, custom content, and account setups). We retain the right to use anonymized, aggregated data and general methodologies across multiple clients.

We may display your company name and logo on our website or in marketing materials as a client reference, unless you request otherwise in writing.

7. Confidentiality

We treat your business information as confidential. We will not disclose your proprietary information, strategies, or data to third parties except as necessary to perform our services (e.g., working with your ad accounts) or as required by law.

Similarly, you agree to keep confidential any proprietary strategies, methodologies, or internal processes we share with you as part of our engagement.

8. Limitation of Liability

To the fullest extent permitted by law, Perry SEO and its team members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or related to your use of our website or services.

Our total liability for any claim arising from our services shall not exceed the total amount you paid to Perry SEO in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Perry SEO, its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these terms, or any content you provide to us that infringes the rights of a third party.

10. Termination

Either party may terminate the service relationship with reasonable written notice as specified in your Service Agreement. Upon termination:

  • You remain responsible for any outstanding payments for services already rendered
  • We will provide you with access to any final deliverables and account credentials that belong to you
  • We may retain copies of our work for legal and record-keeping purposes

We reserve the right to suspend or terminate services immediately if we believe you are using our services for unlawful purposes or in violation of these terms.

11. Governing Law

These Terms of Service and any disputes arising from them shall be governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any legal action shall be brought in the state or federal courts located in Wake County, North Carolina.

12. Dispute Resolution

Before filing any claim against Perry SEO, you agree to first contact us and attempt to resolve the dispute informally. We are committed to working with our clients to find fair solutions.

If informal resolution is not possible, any dispute shall be resolved through binding arbitration in Raleigh, North Carolina, administered by the American Arbitration Association, except that either party may seek injunctive relief in court.

13. Changes to These Terms

We may modify these Terms of Service at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of our website or services after changes constitutes acceptance of the revised terms.

14. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
